Product Terms of Service

Directory Stack (the "Product") is a digital bundle of written guides, checklists, scripts, page templates, database schemas, prompt sheets, and other supporting materials for building a niche directory website. The Product is delivered as a downloadable zip file at the email address you provide at checkout, via a time-limited secure download link.

The Product is a digital good. Your purchase includes best-effort email support at help@thedigitalbackoffice.com for questions about the Product itself (what a section means, how a template is meant to be used, delivery issues). Purchase does not include custom development, tutoring, ongoing coaching, or a guaranteed response time.

When you complete checkout, you receive a single-buyer, non-transferable, non-exclusive license to use the Product for your own directory-building work. You may build as many directories as you want, for businesses you own, using the materials included in the Product.

You may NOT:

• Resell, sublicense, share, or redistribute the Product or any portion of it
• Use the Product to deliver directory-building work to clients as a paid service
• Repackage the guides, scripts, or templates as your own product
• Upload the Product or its contents to public repositories, forums, or file shares
• Use the Product or its contents to train or fine-tune AI models
• Remove or alter any copyright, license, or attribution notices in the files

If you want to use the Product for client work, contact us before you start. We may offer a separate agency license.

After a successful purchase, you will receive an email at the address you used at checkout containing a secure download link. The link is single-buyer specific, expires approximately 24 hours after delivery, and permits a limited number of downloads (three by default). If your link expires before you save the file, reply to the delivery email and we will send a fresh link.

We are not responsible for delivery failures caused by incorrect email addresses, overactive spam filters, blocked domains, or email service outages on your end. Check your spam folder before contacting support.

The Product provides you with tools, information, guidance, and templates. It does not provide you with a guaranteed outcome.

Building a directory website that ranks, earns revenue, or attracts users depends on many factors outside our control — including your choice of niche, the quality and freshness of your data, your marketing effort, the competitive landscape, search engine algorithm changes, AI answer engine behavior, hosting and infrastructure choices, and your own time and skill investment.

We do not represent, warrant, or guarantee that using the Product will produce any particular result, income, ranking, indexation rate, traffic level, subscriber count, conversion rate, or any other business outcome. Examples, case studies, screenshots, and numbers referenced in the Product or on the sales page describe past results achieved by us or by others — they are not a promise or projection of what you will achieve.

You are solely responsible for your decisions, your niche selection, your data collection, your website, your legal compliance, and your business outcomes.

The Product includes template documents (including sample Terms of Service and Privacy Policy templates) and guidance on topics that touch legal, financial, and tax questions. None of the materials in the Product constitute legal advice, financial advice, tax advice, or professional consulting of any kind. Templates are starting points, not finished documents. You should engage a qualified attorney, accountant, or other professional licensed in your jurisdiction to review any legal or compliance-sensitive material before publishing or relying on it.

Because the Product is a digital good delivered in full immediately after purchase, all sales are final and no refunds are offered.

If you experience a delivery failure — the email never arrives, or your download link expires before you can save the file — email help@thedigitalbackoffice.com and we will make sure you receive what you paid for. That is a delivery fix, not a refund.

The Product references third-party tools, platforms, and services (for example, hosting providers, database services, coding assistants, and search engines). We are not affiliated with those third parties unless explicitly stated. Their availability, pricing, terms, and behavior can change at any time and are outside our control.

Any accounts you create with third parties are between you and those providers. Their respective terms of service and privacy policies apply.

All content within the Product — including but not limited to written guides, scripts, templates, database schemas, checklists, prompt sheets, illustrations, and organizational structure — is the intellectual property of The Digital Back Office and is protected by copyright and other applicable laws. Your purchase grants you the license described in Section 2 and no ownership rights whatsoever.

THE PRODUCT IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PRODUCT WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS, THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE DIGITAL BACK OFFICE OR ITS OWNERS, EMPLOYEES, OR CONTRACTORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PRODUCT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PRODUCT OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE PRODUCT.

You agree to defend, indemnify, and hold harmless The Digital Back Office and its owners, employees, and contractors from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Product, your directory website, your listings, your business, or your violation of these Terms.

These Terms are governed by the laws of the State of Missouri, United States, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or the Product will be resolved in the state or federal courts located in Missouri, and you consent to the personal jurisdiction and venue of those courts.

We may update these Terms from time to time. The version in effect on the date of your purchase applies to your purchase. We will post updated versions at thedigitalbackoffice.com/directory-stack/terms with a new effective date.
